Governance & Risk · App 16

Decisions tracked to outcomes, boards run on live evidence

Goals, OKRs, cockpits, board packs, statutory registers and the cap table are planned as linked records. People decide; Digital Employees prepare, track and draft within delegated authority.

Planned · Year 1 (W2)10 modulesYear 1: Substitute only
Strategy & Governance is where a company's leadership sets direction, turns it into governed work across every subscribed One3 app, sees whether that work produced the expected result, and governs the company (board, statutory compliance, ownership) on the same evidence. It is not an "AI CEO": fiduciary duty and accountability stay with directors and officers, and statutory filings are certified and submitted by licensed professionals.

The management layer of One3

Every other One3 app answers "what can the company do?" or "who can do it?". Strategy & Governance answers the questions a management team is paid to answer: what is happening, why, what should we do, did it work, and are we getting better at deciding. It is the product surface of the Enterprise Brain, a layer of reasoning services over the Kernel, the semantic layer, the Context Graph and the audit log. It owns very little data of its own: goals, OKRs, decision requests, strategy objects, board records, statutory records and securities.

Ten modules, in waves

  • W3: Goals & Autopilot (squad goals lite already in Year 1 inside AI Workforce), OKR & Scorecards and Management Cockpit, the three core modules.
  • W4: Strategy Studio, Board & Governance Portal, Company Secretarial and Cap Table & ESOP, as add-ons.
  • W5: Investor Relations, M&A & Due Diligence and Operational Excellence, as add-ons.

Three commitments

  1. Decision to outcome, not insight to slide. A recommendation becomes a decision record with a pre-registered expectation. It is executed through Actions by people and Digital Employees under autonomy budgets and the Delegation-of-Authority matrix, then closed with a measured outcome and calibration.
  2. Honesty by design. Every number on an executive surface shows freshness, data-quality score and evidence level. The system says "I don't know", "correlation, not causation" and "run an experiment first".
  3. Governance on one record. The goal the CEO reviews, the board pack directors read, the resolution the company secretary files and the allotment that updates the cap table are linked records with one audit trail, not four vendors and email.

Engines compute, AI writes

Goal health, vesting, dilution, waterfalls, share-based payment expense, obligation due dates and oversight figures come from deterministic engines. AI drafts narrative, minutes, briefs and summaries, always for human review. Statutory facts such as form names, due dates and thresholds come from verified Fact Register entries, never from model memory. No agent in this app holds any R4 Action.

Governing the AI workforce too

Boards need to oversee the company's own Digital Employees. A quarterly Board AI-oversight report is planned from the hash-chained audit log and the Investment & ROI Ledger: autonomy levels by department and risk tier, value of autonomous actions, approval and override rates, undo and incident counts.

Built for Indian companies first

Company Secretarial and Cap Table & ESOP are designed around Indian private and unlisted public companies, with listed-company overlays later. All statutory rule sets stay blocked for tenants until their Fact Register rows are verified with counsel and tax advisers. Board, secretarial and cap-table data are restricted by default and stored in the tenant's region.

Problems solved

What Strategy & Governance fixes

Goals live in slides, disconnected from data

Key results are updated by hand, late and optimistically. Here they bind to metrics with freshness and quality scores, and check-ins are drafted from data.

Strategy tools stop at the dashboard

Leaders re-key decisions into CRM, Finance and Projects. Approved plans and decisions are designed to execute as Actions in subscribed modules, with approvals.

Nobody records what a decision was expected to do

Decision records carry immutable pre-registered expectations, outcome tracking and calibration, so the company learns which judgements were good.

Board packs are assembled by hand from exports

The board pack builder is planned to pull frozen, evidence-graded snapshots from One3 sources instead.

Boards cannot see the company's AI workforce

A quarterly Board AI-oversight report is planned from the audit log and the ROI Ledger.

CS firm, Excel registers and a separate tracker

Registers are generated from source events, the compliance calendar is event-driven, and resolutions link to filings, registers and the cap table.

Cap table in a spreadsheet, ESOP by email

A deterministic securities ledger, vesting engine, grantee portal and exercise-to-payroll handoff are planned (tax rules to be verified).

Three or four vendors for OKR, board, secretarial and equity

One app on shared core entities means directors, shareholders and employees are recorded once, with one security review.

Key capabilities

What you can do

Goals bound to live metrics

Baseline, target, deadline and owner, with weekly checkpoints captured from data and stop triggers.

OKRs and scorecards on one cascade

OKR, balanced scorecard and rocks share one model, so alignment and AI reasoning work across methods.

Morning Brief and Decision Requests

What changed, what is at risk and what needs my decision, with one-tap approvals by policy.

Pre-registered expectations

Every approved decision records what it should achieve before execution, and is reviewed against it.

Board packs from snapshots

Immutable, hashed snapshots of cockpit, OKR, finance and compliance sections in a secure reader.

Registers from source events

Statutory registers and an event-driven compliance calendar, with filing packs prepared for professional certification.

Deterministic cap table

Securities ledger, vesting engine, dilution and waterfall models, and point-in-time reconstruction.

Board AI-oversight report

Quarterly view of autonomy, overrides, undo and incidents for directors.

Autonomy within delegated authority

Agents advise, draft and track under the DoA matrix and autonomy budgets; people decide.

Workflows

How the work flows

End-to-end workflows inside the app and across One3.

Goal to measured outcome

How a goal becomes approved work across apps and closes against its expectation.

  1. 1.A leader creates a goal bound to a metric with baseline, target and deadline
  2. 2.The Strategic Planner drafts initiatives with a "do nothing" baseline
  3. 3.The plan, budget and autonomy budget are approved through DoA routing
  4. 4.A decision record stores the pre-registered expectation
  5. 5.The executor creates projects, automations, squad assignments and experiments as Actions
  6. + 2 more steps →

Morning Brief to decision

The daily executive loop in the Management Cockpit.

  1. 1.Signals are ranked overnight with evidence
  2. 2.Each executive gets a role-specific Morning Brief in app, email or WhatsApp
  3. 3.A signal that needs action becomes a Decision Request with options and a recommendation
  4. 4.The Critic reviews the request
  5. 5.The executive approves, tests first or dismisses with a reason
  6. + 1 more steps →

Board meeting cycle

From notice to minutes and action tracking.

  1. 1.The secretary schedules the meeting with statutory notice and quorum checks
  2. 2.The agenda is built from templates and matters arising
  3. 3.The board pack is assembled from immutable snapshots and uploads
  4. 4.Directors read, annotate and declare interests; recused directors cannot see restricted items
  5. 5.Motions are voted and resolutions recorded
  6. + 2 more steps →

Resolution to filing, register and cap table

How one corporate event updates every linked record.

  1. 1.The board passes an allotment resolution
  2. 2.Company Secretarial raises the event-driven filing obligation
  3. 3.A filing pack is pre-filled from registers for maker-checker review
  4. 4.A licensed professional certifies and files outside One3
  5. 5.The filing is marked filed with acknowledgement (R4, human)
  6. + 1 more steps →

Drafts squad goal and KR check-ins from bound metrics for the owner to confirm.

Morning Brief and WBR preparation A2

Ranks signals and drafts briefs and weekly business review packs; numbers come from engines.

Critic review A2

OKR drafting and quality check A2

Drafts OKRs and flags output-style KRs, missing baselines and unmeasurable KRs.

Meeting-to-decision capture A2

Proposes decisions, owners and deadlines from transcripts for one-tap confirmation.

Board minutes drafting A2

Drafts minutes from transcripts or notes with decisions and dissent for chair review.

Filing pack completeness A3

Security & compliance

Built to be trusted

Restricted by default, in your region

Board, secretarial, cap-table, investor and deal data are classified restricted and stored in the tenant's region cell.

Tamper-evident records

Hash-chained audit plus app chains for the securities ledger, resolutions, minutes and registers, verified nightly.

Separate portals for outsiders

Non-executive directors, invitees, investors, former-employee grantees and CS firms use separate portal identities with scoped, expiring access.

Recusal and barriers enforced

Recused directors cannot see restricted items or vote; deal clean teams are enforced across search, Copilot and exports.

Statutory rules gated by verification

Rule sets are released to tenants only after Fact Register verification. Outputs are not legal or tax advice; verify with counsel.

Private by design

Director annotations are private, evaluations anonymised with minimum respondent counts, and individual calibration visible only to the individual.

Frequently asked questions

Is Strategy & Governance available in Year 1?

No. The app is planned from W3. In Year 1, squad goals lite runs inside AI Workforce and is designed to carry forward into the W3 Goal model without re-import.

Is this an "AI CEO"?

No. Agents prepare, analyse, challenge, track and draft within delegated authority. Fiduciary duty and decisions stay with directors and officers, and no agent in this app holds an R4 Action.

Does One3 file with the MCA?

No. Filings are prepared in One3, then certified and submitted by an authorised professional. The filing is recorded in One3 afterwards.

Can I move from Viva Goals or spreadsheets?

Importers for Viva Goals exports, spreadsheets and PowerPoint are planned with OKR & Scorecards in W3 (export schemas to be verified).

Are tax and statutory calculations reliable?

Calculations come from deterministic engines using rule sets that must be verified before release. They are not legal or tax advice; verify with counsel.

Can I buy Cap Table or Board Portal without OKRs?

Offering them as standalone modules is an open proposal. Today the catalog lists them as add-ons.
