Company Secretarial

Statutory registers from source events and a compliance calendar that runs itself

Planned · Year 3 (W4)Sold as: Add-onC-104

Company Secretarial is planned to keep each legal entity's statutory house in order: entity and director records, registers generated from source events, an event-driven compliance calendar and filing packs prepared for professional certification. One3 does not file on your behalf.

Not a filing agent

Company Secretarial, planned for W4, prepares and tracks; it does not file. Filings are prepared in One3, then certified and submitted by an authorised professional outside One3, and recorded back with an acknowledgement. The plan treats MCA rules and forms as facts that must be verified before any rule set is released to a tenant.

Entities and directors

The legal entity master holds CIN, entity type, incorporation date, registered office history, authorised and paid-up capital, financial year and statutory auditor. Directors and KMP have DIN, designation, category, appointment and cessation dates, KYC status (to be verified), other directorships and shareholdings. A group structure chart shows ownership percentages from the cap table, and natural-language questions such as "which entities have X as a director" are answered from registers with citations.

Registers that stay in sync

Statutory registers are generated from source events and kept as versioned entries: members, directors and KMP, charges, related-party contracts, loans and guarantees and more. Because the allotment, the resolution and the register come from the same event, they do not drift apart. Charges are managed from creation to satisfaction with lender and asset details.

A calendar driven by events

An obligation library by entity type holds versioned rules: due-date formulas, triggers, forms, attachments and the responsible role. An annual calendar is generated per entity. Event-driven obligations are raised automatically when a director is appointed or ceases, shares are allotted, a resolution needs filing, an auditor is appointed or a charge is created.

Filing preparation and status

A filing pack pre-fills form data from registers, adds an attachment checklist, drafts resolutions and extracts, and goes through maker-checker review and a professional certification task. "Mark filed" is an R4 human Action recording the SRN, challan, fees, filing date and acknowledgement. Statuses run from prepared and certified to filed, approved or resubmission required. Estimated additional fees for overdue filings are labelled estimates.

Working with CS firms

CS firms can import registers and obligation history from standard Excel templates with reconciliation. A partner workspace lets firm staff access many client tenants with engagement scopes, time bounds and client approval. Regulatory change follows a workflow: Fact Register verification, a new rule version, tenant impact analysis and admin acceptance. LLP, OPC and Section 8 rule sets are planned (to be verified); listed-company and RBI-regulated overlays are planned for W5.

Does One3 file forms with the MCA?

No. Filings are certified and submitted by an authorised professional outside One3. Direct e-filing is considered only if API access and the certification model are verified.

Are the due dates reliable?

Due dates come from rule sets released only after Fact Register verification. Always verify with your company secretary or counsel.
